Alaska LLC Biennial Report: Due Date, Fee and What Happens If You Miss It
Alaska LLCs file a Biennial Report with the Alaska Division of Corporations, Business and Professional Licensing (Corporations Section), every two years. The state fee is $100. File the biennial report by January 2 of every other year that matches the parity of your formation year (even or odd), and no later than a February 1 postmark to avoid the late charge. A domestic LLC filing on or after February 2 pays $137.50 instead of $100: a $25 late charge per year or part of a year of delinquency plus an additional 10% of the total filing amount (3 AAC 16.065).
How the Biennial Report works in Alaska
Alaska LLCs file a biennial report, not an annual one, with the Corporations Section of the Division of Corporations, Business and Professional Licensing. Which years you file depends on the year the LLC was formed: an LLC organized in an even-numbered year files every even-numbered year, and one organized in an odd-numbered year files every odd-numbered year. The report is due January 2 of the filing year, early filing opens October 2 of the year before, and a report filed or postmarked after February 1 costs $137.50 instead of $100 for a domestic LLC. The report discloses managers or members and anyone owning 5% or more, with their percentage. Owners who skip a cycle often forget that six months of delinquency allows the state to begin involuntary dissolution. The business license is a separate renewal with the Business Licensing Section.
First report: The first biennial report is due January 2 of the next even- or odd-numbered year that matches the formation year, so an LLC formed in 2026 first files by January 2, 2028.
When your Biennial Report is due: worked examples
| If the LLC was formed | The report is due |
|---|---|
| March 15, 2026 | January 2, 2027 (first), then every January 2 |
| August 20, 2026 | January 2, 2027 (first), then every January 2 |
| December 5, 2026 | January 2, 2027 (first), then every January 2 |
Next statewide deadline after October 30, 2026: January 2, 2027. If a deadline falls on a weekend or holiday, check whether Alaska moves it to the next business day.
If you miss the deadline
- A domestic LLC filing on or after February 2 pays $137.50 instead of $100: a $25 late charge per year or part of a year of delinquency plus an additional 10% of the total filing amount (3 AAC 16.065).
- An LLC six months delinquent in filing its biennial report or paying a fee may be involuntarily dissolved after the commissioner mails written notice and the LLC fails to contest or cure within 60 days (AS 10.50.408). The status becomes 'Involuntarily Dissolved' and the company's existence ceases.
- Fixing a dissolved or forfeited LLC is covered in our Alaska LLC reinstatement guide.
How to file the Alaska Biennial Report
- File online at Corporations.Alaska.Gov under Biennial Reports using the entity number, or mail a paper report; online filing is processed immediately.
- What becomes public: The report lists the registered agent and office, the names and addresses of managers (or members if member-managed), and the name, address and percentage of each person owning at least 5% of the LLC.
- Filed or paid alongside it: No state income or franchise tax is filed with the report. An Alaska business license, handled by the separate Business Licensing Section, must be kept current on its own schedule.

Mistakes Alaska owners make
- Filing in the wrong year by assuming the report is annual, when Alaska LLCs file only in the even or odd years matching their formation year.
- Treating February 1 as the due date, when the report is actually due January 2 and February 1 is the last day before the late charge applies.
- Leaving out 5% owners, even though Alaska requires the name, address and ownership percentage of everyone holding at least 5%.
- Assuming the biennial report also renews the Alaska business license, which is a separate filing with a different section.
Alaska LLC annual report: questions
How do I know whether my Alaska LLC files in even or odd years?
It depends on the year the articles of organization were filed. An LLC formed in an even-numbered year files its biennial report every even-numbered year, and one formed in an odd-numbered year files every odd-numbered year. The report is due January 2 of that year, and early filing opens October 2 of the prior year.
What is the late fee for an Alaska LLC biennial report?
A domestic LLC that files or postmarks its report after February 1 pays $137.50 instead of $100. The regulation adds a $25 late charge for each year or part of a year of delinquency plus an extra 10% of the total filing amount. Foreign LLCs pay a higher base fee of $200.
What does the Alaska biennial report make public?
The report lists the LLC's registered agent and registered office, the names and addresses of its managers or, for a member-managed LLC, its members, and the name, address and ownership percentage of every person holding at least a 5% interest. Changes between reports require a separate notice of change filing.
