How the Annual Registration works in Georgia

Georgia calls its yearly LLC filing the Annual Registration, and it goes to the Corporations Division of the Secretary of State. Unlike states that tie the deadline to the formation date, Georgia uses one calendar window for everyone: January 1 through April 1. A new LLC skips the year it was formed and files its first registration in the window of the following year, so an LLC organized in December still has until April 1 of the next year. The fee is $60: a $50 statutory fee plus a $10 service charge that applies online and on paper since September 2025. Georgia lets owners prepay two or three years in one filing, which then pushes the next due date out to the window after the prepaid period ends. A filing made on April 2 picks up a $25 penalty right away. The registration confirms the principal office mailing address and the registered agent, and there is no franchise tax attached to it.

First report: The first Annual Registration is due between January 1 and April 1 of the calendar year after the year the LLC was formed.

If you miss the deadline

  • A $25 penalty is added to any Annual Registration filed after April 1.
  • If the registration and all fees and penalties are not delivered within 60 days after April 1, the Secretary of State may mail a notice; if the LLC does not cure within 60 days of that notice, it is administratively dissolved (O.C.G.A. 14-11-603(b)).
  • Fixing a dissolved or forfeited LLC is covered in our Georgia LLC reinstatement guide.

How to file the Georgia Annual Registration

  • File online through the Georgia Corporations Division eCorp site using the One Click Registration (no changes, no login) or an eCorp account (needed for changes); have the business name or control number, a valid email, registered agent name and Georgia street address, principal office mailing address, and a card. A paper form can be printed and mailed to the Corporations Division in Atlanta.
  • What becomes public: The registration updates the public record with the LLC's principal office mailing address and registered agent name and Georgia address, all searchable on eCorp.
  • Filed or paid alongside it: Georgia charges no franchise tax with the Annual Registration. LLCs taxed as partnerships or disregarded entities report income through members' Georgia income tax returns; an LLC that elects to be taxed as a corporation owes Georgia's corporate net worth tax with its Department of Revenue return.

Mistakes Georgia owners make

  • Assuming the first registration is due on the formation anniversary, when Georgia uses the January 1 to April 1 window of the following calendar year.
  • Mailing the paper form on April 1 without checking the postmark date, which can trigger the $25 late penalty.
  • Using the One Click Registration when the registered agent or address has changed, since changes require an eCorp account filing.
  • Forgetting that a multi-year prepayment moves the next due date, then assuming the LLC is current for longer than it actually paid.

Georgia LLC annual report: questions

When is a Georgia LLC's first Annual Registration due?

It is due between January 1 and April 1 of the calendar year after the LLC was formed. An LLC formed in June 2026 files its first registration in the January 1 to April 1, 2027 window. Nothing is due during the formation year itself, regardless of the formation month.

Can a Georgia LLC file more than one year at a time?

Yes. Georgia allows an Annual Registration to cover the current year alone or two or three consecutive years. The next registration is then due in the January 1 to April 1 window of the first calendar year after the prepaid period ends, so track that date separately.

What happens if a Georgia LLC files its Annual Registration on April 2?

The state adds a $25 late penalty to the $60 fee. The LLC is not dissolved at that point; administrative dissolution only becomes possible once the filing is more than 60 days late and the LLC then fails to cure within 60 days after the Secretary of State mails a notice.
