Montana LLC Annual Report: Due Date, Fee and What Happens If You Miss It
Montana LLCs file a Annual Report with the Montana Secretary of State, Business Services Division, every year. The state fee is $20. File between January 1 and April 15 each year; reports filed after April 15 cost $35. Filing after April 15 raises the fee from $20 to $35, an extra $15. During fee-waiver years, the on-time report is free but a late report still costs $35.
How the Annual Report works in Montana
Montana LLCs file an Annual Report with the Secretary of State's Business Services Division through the biz.sosmt.gov portal. The statutory window runs from January 1 to April 15, starting the year after the LLC is formed. Montana's pricing is unusual: the fee schedule charges $20 on time and $35 after April 15, but the Secretary of State has waived the on-time fee, including for 2026, and has announced the waiver again for 2027. That means an on-time report is free while a late one still costs $35. The report discloses the principal office mailing address and the names and addresses of the managers or, for member-managed LLCs, the members. The state also warns owners about private companies mailing official-looking solicitations that charge extra to file this report. An LLC that goes 140 days past the deadline without filing can be involuntarily dissolved.
First report: The first annual report is due between January 1 and April 15 of the year after the LLC is organized (MCA 35-8-208(3)).
When your Annual Report is due: worked examples
| If the LLC was formed | The report is due |
|---|---|
| March 15, 2026 | April 15, 2027 (first), then every April 15 |
| August 20, 2026 | April 15, 2027 (first), then every April 15 |
| December 5, 2026 | April 15, 2027 (first), then every April 15 |
Next statewide deadline after October 30, 2026: April 15, 2027. If a deadline falls on a weekend or holiday, check whether Montana moves it to the next business day.
If you miss the deadline
- Filing after April 15 raises the fee from $20 to $35, an extra $15. During fee-waiver years, the on-time report is free but a late report still costs $35.
- Under MCA 35-8-209, an LLC that fails for 140 days to file its annual report can be involuntarily dissolved by the Secretary of State. The Secretary of State's help center states that domestic entities must have the report filed by December 1 to avoid dissolution.
- Fixing a dissolved or forfeited LLC is covered in our Montana LLC reinstatement guide.

Mistakes Montana owners make
- Paying a private solicitation company that mails official-looking notices, when the report can be filed directly at biz.sosmt.gov.
- Assuming the fee waiver means a late report is also free, when filing after April 15 still costs $35.
- Expecting the first report in the formation year, when it is first due January 1 to April 15 of the following year.
- Leaving manager or member names out of date, since the report lists them publicly.
