Step by step

Choose and check your LLC name

Your name must be distinguishable from existing North Carolina entities and include "LLC" or "Limited Liability Company". Search availability for free on the North Carolina Secretary of State website before you fall in love with a name.

Appoint a registered agent

Required by law: a person or company with a physical street address in North Carolina, available during business hours to receive legal mail. You can be your own agent if you live in the state; most founders who value privacy or don't live there use a service ($100 to $200 per year).

File your formation documents ($125)

File Articles of Organization (in some states called a Certificate of Formation) with the North Carolina Secretary of State. Standard processing: about 5-7 business days online. This is the step that legally creates the LLC.

Get your EIN from the IRS (free)

The Employer Identification Number is your LLC's federal tax ID, needed for bank accounts, hiring and tax filings. The IRS issues it free. If the LLC's principal place of business is in the US and the responsible party has an SSN or ITIN, the IRS online application issues the number immediately (one EIN per responsible party per day). Owners without an SSN or ITIN, including most non-US founders, cannot use the online tool: they file Form SS-4 by fax (about 4 business days), by mail (about 4 weeks) or, for international applicants, by phone at 267-941-1099. Details and the exact numbers are in our non-resident guide. Never pay a service just for an EIN.

Create an operating agreement

North Carolina does not legally require an operating agreement, but banks, investors and courts expect one, and it is the document that protects your limited liability if ownership is ever disputed.

Handle ongoing compliance

North Carolina requires an annual report of $200. Calendar it the day your LLC is approved, missing it risks late fees and eventually administrative dissolution.

What a North Carolina LLC really costs

ItemAmountNotes
Articles of Organization (Form L-01)$125Plus a $3 electronic fee when paying by card online
Expedite (optional)$100 for 24-hour, $200 for same daySame day requires receipt by noon Eastern

Annual report$200 ($203 online)Due April 15, starting the year after formation
Reinstatement after dissolution$100 plus every missed report

Over five years that is about $925 in state fees, before any registered agent. North Carolina's $200 annual report is one of the higher recurring costs in the Southeast, and it is owed whether or not the LLC earned anything. Fees from the Secretary of State fee schedule.

The April 15 annual report

  • The first report is due April 15 of the year after formation, even if you formed in late December.
  • There is no separate late fee on the fee schedule. The real penalty is dissolution.
  • Under G.S. 57D-6-06 a report more than 60 days overdue is grounds for administrative dissolution. The Secretary of State mails a notice first; if it is not cured within 60 days, the LLC is dissolved.
  • File online through the Secretary of State annual report page.

Taxes for North Carolina LLCs

  • No franchise tax for an LLC taxed as a partnership or disregarded entity. The franchise tax applies only if the LLC elects to be taxed as a corporation: $1.50 per $1,000 of the base, with a $200 minimum.
  • Income tax passes through to the owners at North Carolina's flat individual rate, 3.99% for 2026. Multi-member LLCs file Form D-403.
  • Sales tax: register with the Department of Revenue before selling taxable goods or services.

Public record

The Articles list the name and address of each person who signs them, and signing as a "member" puts you on the public record as one. Listing company officials is optional on the Articles. If privacy matters, have the organizer be someone other than the owners.

Mistakes we see with North Carolina LLCs

  • Forming in December and missing the April 15 report that is due four months later.
  • Assuming a dormant LLC does not need to file. The $200 is due regardless of revenue.
  • Ignoring the dissolution notice, then discovering the LLC was dissolved 60 days later.
  • Signing the Articles as a member without realising it makes the name public.
