How reinstatement works in Utah

In Utah an LLC that never renews moves from Delinquent to Expired, which is the Division's label for administrative dissolution. A Delinquent LLC does not need reinstatement; it simply files the overdue renewal and pays the late fee. An Expired domestic LLC files an Application for Reinstatement online in the business registration portal under File on an Existing Business. The cost is a $54 reinstatement fee plus $18 for each missed renewal and a $10 delinquency fee. The application must state that taxes owed to the Utah State Tax Commission are paid or on a current payment plan. Utah Code 16-1a-604 sets no deadline to apply, and an approved reinstatement relates back to the dissolution date, but the company keeps its name only for five years after dissolution. Foreign LLCs cannot use this process; an expired foreign registration has to be filed again as a new application.

Steps to reinstate a Utah LLC

  1. File an Application for Reinstatement stating the LLC's name, principal office, registered agent, and the effective date of dissolution
  2. Pay all fees and penalties owed to the Division, including missed renewal fees
  3. Show that all taxes, fees, and penalties owed to the Utah State Tax Commission are paid or that the LLC is current on a payment plan
  4. Confirm that the grounds for dissolution have been cured
  5. Form to use: Application for Reinstatement.
  6. File online at businessregistration.utah.gov: sign in with a UtahID, choose File on an Existing Business, and select the Application for Reinstatement filing type. Only domestic (Utah) entities can reinstate; an expired foreign LLC must register again.

What reinstatement costs: a worked example

An LLC dissolved after missing 2 reports:

ItemAmount
Reinstatement fee$54
2 missed Annual Renewals at $18$36
Late penalties, if charged on each ($10 each)$20
Estimated state total$110

$54 reinstatement fee for a domestic LLC, plus $18 for each annual renewal that was missed and a $10 delinquency fee. Whether late penalties are charged again at reinstatement varies; the state calculates the exact total when you file. Taxes, interest and tax-clearance costs are extra where they apply.

What happens to the LLC and its name

  • Effect: Yes. Under Utah Code 16-1a-604(7), reinstatement relates back to the effective date of the administrative dissolution and the LLC may resume business as if it had not been dissolved.
  • Your LLC name: Utah Code 16-1a-604(3) lets a dissolved entity keep its name and any DBA for five years after the dissolution takes effect; after that the name may be taken by another business and a different name may be needed.

The most common cause is a missed Annual Renewal. See the Utah Annual Renewal guide for deadlines so it does not happen again.

Mistakes that slow down a Utah reinstatement

  • Filing a reinstatement for an LLC that is only Delinquent, when a late renewal is the correct fix.
  • Budgeting only the $54 reinstatement fee and forgetting the $18 per missed renewal plus the $10 delinquency fee.
  • Applying before clearing State Tax Commission balances, since the application must state that taxes are paid or on a current payment plan.

Utah LLC reinstatement: questions

Is there a deadline to reinstate an expired Utah LLC?

The current statute, Utah Code 16-1a-604, lets a dissolved domestic entity apply at any time after dissolution. The practical limit is the name: Utah holds a dissolved entity's name and DBA for five years. After that, if someone else has taken the name, the application has to use a different available name.

How much does Utah reinstatement cost?

A domestic LLC pays a $54 reinstatement fee, plus $18 for each annual renewal it missed and a $10 delinquency fee. An LLC that missed two renewals would pay roughly $54 plus $36 plus $10. Any taxes owed to the State Tax Commission are separate and must be paid or on a payment plan.

Can a foreign LLC reinstate its Utah registration?

No. Utah's reinstatement process is for domestic entities only. A foreign LLC whose Utah registration expired has to file a new application for authority to do business in Utah, pay the registration fee again, and receive a new entity number, rather than reinstating the old record.
