How reinstatement works in Indiana

An Indiana LLC dissolved for a missed Business Entity Report reinstates with the Secretary of State under IC 23-0.5-6-3. The standard route is open for five years after the dissolution date, and as of January 1, 2026 the statute also allows later applications, which must explain why reinstatement is sought and what the LLC plans to do. The filing fee is $30, plus every report and fee that came due while dissolved. Indiana requires a certificate of clearance from the Department of Revenue confirming taxes are paid, which is the step that most often holds things up. If the person filing is not a listed governing person, a notarized affidavit of authority is needed. Reinstatement relates back to the dissolution date, so the LLC is treated as continuing without a break, and the original name is kept unless another entity has claimed it in the meantime.

Steps to reinstate an Indiana LLC

  1. Application stating the LLC's name at dissolution (or a new compliant name), principal office address, and registered agent
  2. Effective date of the administrative dissolution and a statement that the grounds have been cured
  3. Certificate of clearance from the Indiana Department of Revenue showing taxes are paid
  4. All past-due Business Entity Reports and fees
  5. Notarized affidavit of authority if the applicant is not a listed governing person
  6. For applications more than 5 years after dissolution, the reason for reinstatement and intended future activities
  7. Form to use: Application for Reinstatement (State Form 4160).
  8. File through INBiz online or submit State Form 4160 by mail to the Secretary of State, Business Services Division, in Indianapolis.

What reinstatement costs: a worked example

An LLC dissolved after missing 2 biennial reports:

ItemAmount
Reinstatement fee$30
2 missed Business Entity Reports at $32$64
Estimated state total$94

$30 reinstatement filing fee, plus every Business Entity Report that came due and any other fees, taxes, interest, and penalties owed to the Secretary of State during dissolution. Whether late penalties are charged again at reinstatement varies; the state calculates the exact total when you file. Taxes, interest and tax-clearance costs are extra where they apply.

What happens to the LLC and its name

  • Effect: Yes. IC 23-0.5-6-3(f) says reinstatement relates back to and takes effect as of the effective date of the administrative dissolution, though rights of anyone who relied on the dissolution before learning of the reinstatement are preserved.
  • Your LLC name: The LLC uses its name at dissolution if still available; otherwise the application must adopt a different name that complies with IC 23-0.5-3-1.

The most common cause is a missed Business Entity Report. See the Indiana Business Entity Report guide for deadlines so it does not happen again.

Mistakes that slow down an Indiana reinstatement

  • Filing the reinstatement before obtaining the Indiana Department of Revenue tax clearance, which the statute requires.
  • Leaving out the past-due Business Entity Reports and their fees, which must be paid along with the $30 reinstatement fee.
  • Having an employee or service provider file without the notarized affidavit of authority required when the filer is not a listed governing person.
