Indiana LLC Business Entity Report: Due Date, Fee and What Happens If You Miss It

Indiana LLCs file a Business Entity Report with the Indiana Secretary of State, Business Services Division, every two years. The state fee is $32 †. File the Business Entity Report every two years by the last day of the month in which the LLC was formed. How the Business Entity Report works in Indiana

Indiana does not have an annual report for LLCs. It has a Business Entity Report, filed every two years with the Secretary of State's Business Services Division through INBiz. The first one is due in the anniversary month two years after formation, so an LLC formed in May 2026 first files by May 31, 2028, and every second year after that. Reports can be filed up to 90 days early. The fee is $32 online and $50 on paper. Indiana does not charge a late fee, which leads some owners to treat the deadline loosely, but a report more than 60 days late is grounds for administrative dissolution once the state sends notice and the 60-day cure period passes. The two-year gap is the biggest risk: owners who remember an annual cycle from another state often forget the off year and then the on year. The report lists at least one governing person publicly.

First report: The first Business Entity Report is due in the anniversary month two years after formation (an LLC formed in March 2026 files by March 31, 2028).

If you miss the deadline

  • No separate late fee; a report more than 60 days late is grounds for administrative dissolution.
  • If the report is not filed within 60 days after it is due, the Secretary of State may send written notice; if the LLC does not cure within 60 days after receiving it, the LLC is administratively dissolved (IC 23-0.5-6-1 and 23-0.5-6-2).
  • Fixing a dissolved or forfeited LLC is covered in our Indiana LLC reinstatement guide.

How to file the Indiana Business Entity Report

  • File online through INBiz by searching the LLC's name or business ID; confirm the principal office address, registered agent, and at least one governing person, and pay by card or eCheck. A paper report can be mailed for the higher fee.
  • What becomes public: The report updates the principal office address, registered agent, and the name and address of at least one manager or member, which are public on INBiz.
  • Filed or paid alongside it: Indiana has no franchise tax tied to the report. A tax clearance from the Indiana Department of Revenue becomes necessary if the LLC is dissolved and seeks reinstatement.
  • Official filing page: file with the state

Mistakes Indiana owners make

  • Assuming the report is annual and paying twice, or assuming nothing is due in the second year after formation when that is exactly when the first report falls.
  • Treating the absence of a late fee as a grace period, when 60 days late opens the door to administrative dissolution.
  • Filing on paper and paying $50 instead of $32 online.
  • Letting the INBiz account email go stale, so reminder notices never reach the owner.

Indiana LLC annual report: questions

How often does an Indiana LLC file a report?

Every two years. Indiana's Business Entity Report is biennial, due by the end of the anniversary month. The first one comes due two years after formation, so an LLC formed in August 2026 files by August 31, 2028, then again in 2030.

Does Indiana charge a late fee for the Business Entity Report?

No separate late fee applies. The risk is dissolution: once a report is more than 60 days overdue, the Secretary of State may send notice, and if the LLC does not file within 60 days after receiving it, the LLC is administratively dissolved.

How much does the Indiana Business Entity Report cost?

It costs $32 when filed online through INBiz and $50 when mailed on paper. Because it is due only every two years, the yearly cost for an LLC that files online is about $16. Paper filers also wait longer for the filing to post to the public record.
