Louisiana LLC Annual Report: Due Date, Fee and What Happens If You Miss It
Louisiana LLCs file a Annual Report with the Louisiana Secretary of State, Commercial Division, every year. The state fee is $35. File the Annual Report on or before the anniversary of the LLC's date of organization every year. No separate late fee; an LLC with an overdue report is listed as not in good standing until it files.
How the Annual Report works in Louisiana
Louisiana LLCs file an Annual Report with the Commercial Division of the Secretary of State, due on or before the anniversary of the date the LLC was organized, with the first one due at the one-year mark. The fee rose from $30 to $35 on October 1, 2026 under Act 921, the first across-the-board increase in more than a decade, and card payments add a $5 convenience fee. The report lists the registered office, registered agent, and every manager or member by name and street address, so it is also how Louisiana keeps its public ownership records current. There is no late fee. Instead, a late LLC is flagged as not in good standing, which bars it from doing commercial business with the state and can make state contracts voidable. Louisiana is unusually patient after that: revocation only happens after three consecutive years with no report.
First report: The first Annual Report is due on or before the first anniversary of the LLC's organization date.
When your Annual Report is due: worked examples
| If the LLC was formed | The report is due |
|---|---|
| March 15, 2026 | By March 15 each year |
| August 20, 2026 | By August 20 each year |
| December 5, 2026 | By December 5 each year |
If you miss the deadline
- No separate late fee; an LLC with an overdue report is listed as not in good standing until it files.
- An LLC delinquent on its report is not in good standing and is barred from commercial business with the state. After three consecutive years without a report, the Secretary of State mails a notice of intent at least 30 days ahead and then revokes the articles of organization (La. R.S. 12:1308.2).
- Fixing a dissolved or forfeited LLC is covered in our Louisiana LLC reinstatement guide.
How to file the Louisiana Annual Report
- File online through the Secretary of State's geauxBIZ portal or the online annual report service using the LLC's charter number, or return the paper report that the Secretary of State mails to the registered office before the anniversary date.
- What becomes public: The report lists the registered office street address, each registered agent's name and address, and the name and street address of every manager (or every member if member-managed), all public on the business search.
- Filed or paid alongside it: No tax is due with the report. Louisiana's corporation franchise tax did not apply to LLCs taxed as partnerships or disregarded entities and was repealed for tax periods beginning in 2026; income taxes are handled with the Louisiana Department of Revenue.

Mistakes Louisiana owners make
- Paying the old $30 fee after October 1, 2026, when Act 921 raised the Louisiana annual report fee to $35.
- Assuming a late report is harmless because there is no late fee, when not in good standing status bars commercial business with the state.
- Forgetting to update the list of managers or members, which Louisiana publishes with street addresses.
- Using a calendar-year deadline when Louisiana ties the due date to the exact anniversary of organization.

Filings made on or after October 1, 2026 cost $35 under Act 921 of the 2026 session; the earlier fee was $30. Paying by credit card adds a $5 statutory convenience fee charged by the Secretary of State. Reports paid by check avoid that card fee.
