Mississippi LLC Annual Report: Due Date, Fee and What Happens If You Miss It

Mississippi LLCs file a Annual Report with the Mississippi Secretary of State, Business Services Division, every year. The state fee is $0. File the annual report online between January 1 and April 15 each year. No separate late fee for a domestic LLC; a report more than 60 days overdue is a ground for administrative dissolution.

How the Annual Report works in Mississippi

Mississippi requires every LLC to file an Annual Report with the Secretary of State's Business Services Division, but for a Mississippi LLC it costs nothing. The filing window opens January 1 and closes April 15, the same deadline as Mississippi profit corporations. Paper is not an option: all annual reports must be filed online, and the portal requires the LLC's Business ID number plus a user account. Because the report is free, there is no late fee either, which leads some owners to treat it as optional. It is not. Once a report is more than 60 days past due, the Secretary of State can serve a notice of grounds for administrative dissolution, and the LLC has 60 more days to cure before it is dissolved. Notices can be sent by email to the registered agent, so an outdated agent email can mean a missed warning.

First report: The first annual report is due between January 1 and April 15 of the year after the LLC is formed.

If you miss the deadline

  • No separate late fee for a domestic LLC; a report more than 60 days overdue is a ground for administrative dissolution.
  • If the report is not delivered within 60 days after April 15, the Secretary of State may serve written notice; if the LLC does not cure within 60 days after service, it is administratively dissolved (Miss. Code 79-29-821 and 79-29-823).
  • Fixing a dissolved or forfeited LLC is covered in our Mississippi LLC reinstatement guide.

How to file the Mississippi Annual Report

  • Online only, through the Secretary of State's business filing portal. You need the LLC's Business ID number (found through the business entity search) and a user account with username and password.

Mistakes Mississippi owners make

  • Skipping the report because there is no fee, which still exposes the LLC to administrative dissolution once it is 60 days late.
  • Looking for a paper form, when Mississippi accepts annual reports only through the online portal.
  • Not knowing the Business ID number or not having a portal login before the April 15 deadline.
  • Letting the registered agent email or mailing address lapse, so the 60-day dissolution notice is never seen.

Mississippi LLC annual report: questions

Does a Mississippi LLC pay a fee for its annual report?

No. A domestic Mississippi LLC's annual report has no filing fee under the state's LLC fee statute and the Secretary of State's fee schedule. Foreign LLCs registered in Mississippi do pay a fee. Even though it is free, the report is mandatory and late filing can lead to dissolution.

Can I file my Mississippi annual report on paper?

No. The Secretary of State requires all annual reports to be filed online. You need the LLC's Business ID number, which you can find with the business entity search, and a username and password for the filing portal. The window runs from January 1 through April 15.

What happens if my Mississippi LLC misses April 15?

There is no late fee. If the report is still missing 60 days after the deadline, the Secretary of State may serve written notice of grounds for administrative dissolution. The LLC then has 60 days after service to file or show the ground does not exist, or it will be dissolved.
