Minnesota LLC Annual Renewal: Due Date, Fee and What Happens If You Miss It
Minnesota LLCs file a Annual Renewal with the Minnesota Secretary of State, Business Services, every year. The state fee is $0. File the Annual Renewal by December 31 of every calendar year. No separate late fee; an LLC that misses December 31 is administratively terminated and must pay the reinstatement fee to file.
How the Annual Renewal works in Minnesota
Minnesota's ongoing LLC filing is called the Annual Renewal, and it goes to the Secretary of State's Business Services office. Every LLC must file once per calendar year by December 31, starting the year after formation. There is no fee as long as the LLC is active and in good standing, which makes it easy to overlook. The renewal confirms the registered office, the principal executive office, and the name and business address of the manager or person acting as chief manager, and everything on it is public. It can also update the principal office and manager information once a year without a separate amendment, but a change of name or registered agent still needs an amendment. The surprise is the deadline enforcement: an LLC that has not renewed by December 31 is administratively terminated without any further notice, so a free filing can turn into a reinstatement fee overnight.
First report: The first renewal is due by December 31 of the calendar year after the year the articles of organization were filed; an LLC formed in 2026 first renews by December 31, 2027.
When your Annual Renewal is due: worked examples
| If the LLC was formed | The report is due |
|---|---|
| March 15, 2026 | December 31, 2027 (first), then every December 31 |
| August 20, 2026 | December 31, 2027 (first), then every December 31 |
| December 5, 2026 | December 31, 2027 (first), then every December 31 |
Next statewide deadline after October 30, 2026: December 31, 2026. If a deadline falls on a weekend or holiday, check whether Minnesota moves it to the next business day.
If you miss the deadline
- No separate late fee; an LLC that misses December 31 is administratively terminated and must pay the reinstatement fee to file.
- An LLC that does not file by December 31 is administratively terminated (a foreign LLC's authority is revoked) without further notice from the Secretary of State, under Minn. Stat. 322C.0705.
- Fixing a dissolved or forfeited LLC is covered in our Minnesota LLC reinstatement guide.

Mistakes Minnesota owners make
- Skipping the renewal because it is free, then being terminated on January 1 with no warning letter.
- Waiting for the first renewal in the formation year, when it is not due until December 31 of the following year.
- Trying to change the registered agent on the renewal, which requires a separate amendment and fee.
- Forgetting that the manager name and address on the renewal become public record.
Minnesota LLC annual report: questions
How much does the Minnesota LLC annual renewal cost?
Nothing, if the LLC is active and in good standing. Minnesota law states that no fee is required to file the annual renewal. A fee only appears when the renewal is filed late, because by then the LLC has been terminated and the renewal doubles as a reinstatement filing.
When is the Minnesota annual renewal due?
Every LLC must file by December 31 of each calendar year, beginning with the year after its articles of organization were filed. There is no grace period: the renewal form warns that missing December 31 results in termination without further notice from the Secretary of State.
What information is on the Minnesota annual renewal?
The renewal lists the registered office and agent, the principal executive office address, and the name and business address of the manager or chief manager. All of it is public. It also includes an optional Business Snapshot survey about employees, ownership and revenue, whose answers are public data.
