Pennsylvania LLC Annual Report: Due Date, Fee and What Happens If You Miss It

Pennsylvania LLCs file a Annual Report with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations, every year. The state fee is $7. File the annual report between January 1 and September 30 of each year, for both domestic and foreign LLCs. No separate late fee for a late annual report; after dissolution, reinstatement costs $35 online or $40 on paper plus $15 for each annual report not previously paid.

How the Annual Report works in Pennsylvania

Pennsylvania only began requiring LLC annual reports in 2025, replacing the old decennial filing, so many owners of older LLCs have never filed one. The report goes to the Department of State's Bureau of Corporations and Charitable Organizations, costs $7, and is due between January 1 and September 30 each year for both domestic and foreign LLCs. Corporations have an earlier June 30 deadline, which causes confusion in mixed-entity groups. The form is short: name, jurisdiction, registered and principal office, at least one governor, and any principal officers, with no financial data. Online filings at file.dos.pa.gov are approved automatically and need no PIN. Missed 2025 and 2026 reports only flag the LLC as non-compliant on the public business search. Starting with 2027 reports, an LLC that misses September 30 is administratively dissolved six months later. Third-party sites often charge $100 or more for this $7 filing.

First report: The first annual report is due in the calendar year after the LLC is formed in or first registers in Pennsylvania, by September 30 of that year.

March 15, 2026September 30, 2027 (first), then every September 30
August 20, 2026September 30, 2027 (first), then every September 30
December 5, 2026September 30, 2027 (first), then every September 30

Next statewide deadline after October 30, 2026: September 30, 2027. If a deadline falls on a weekend or holiday, check whether Pennsylvania moves it to the next business day.

If you miss the deadline

  • No separate late fee for a late annual report; after dissolution, reinstatement costs $35 online or $40 on paper plus $15 for each annual report not previously paid.
  • Reports missed in 2025 and 2026 only mark the LLC as non-compliant; starting with reports due in 2027, a domestic LLC that fails to file is administratively dissolved (a foreign LLC's registration is terminated) six months after the September 30 due date, and its name becomes available to others.
  • Fixing a dissolved or forfeited LLC is covered in our Pennsylvania LLC reinstatement guide.

How to file the Pennsylvania Annual Report

  • File online through Business Filing Services at file.dos.pa.gov: log in, search for the entity, click the annual report icon (no PIN required), confirm the details, and pay by credit card; online filings are approved automatically. Paper form DSCB:15-146 can also be mailed.
  • What becomes public: The report lists the business name, jurisdiction of formation, registered office, principal office, at least one governor (for an LLC, a manager or member), and principal officers if any; it is shown on the Department's public business search along with the LLC's annual report compliance status. No financial information is required.

Mistakes Pennsylvania owners make

  • Assuming an older Pennsylvania LLC is exempt because it never filed before, when every LLC must file annually starting in 2025.
  • Using the corporate June 30 deadline or the December 31 LP deadline, when LLCs have until September 30.
  • Paying a third-party service $100 or more for a filing that costs $7 directly at file.dos.pa.gov.
  • Ignoring the non-compliant flag on missed 2025 or 2026 reports, which is publicly visible and must be cleared before dissolution rules begin with 2027 reports.

Pennsylvania LLC annual report: questions

When is the Pennsylvania annual report due for an LLC?

Domestic and foreign LLCs file between January 1 and September 30 every year. The deadline is the same for all LLCs regardless of formation date. A new LLC files its first report in the calendar year after it forms or registers, so an LLC formed in 2026 first files by September 30, 2027.

What happens if my Pennsylvania LLC missed its 2025 annual report?

Reports missed in 2025 and 2026 do not lead to dissolution, but the LLC is shown as not compliant with annual reporting on the public business search. Starting with reports due in 2027, an LLC that does not file is administratively dissolved six months after the September 30 deadline, so it is best to file the missing years now.

Does the Pennsylvania annual report require financial information?

No. The report asks only for the LLC's name, jurisdiction of formation, registered office, principal office, at least one governor, and any principal officers. The details appear on the Department of State's public business search, so the names you list become public record.
