How the Annual Report works in Illinois

Illinois LLCs file an Annual Report (Form LLC-50.1) with the Secretary of State's Department of Business Services, and the timing catches many owners off guard: the report is due before the first day of the anniversary month, not during it. An LLC formed in June must file by May 31 each year, starting the year after formation. The fee is $75, which dropped from $250 in recent years, plus $50 for each series in a series LLC. If the report is still missing on the first day of the second month after the anniversary month, a $100 penalty attaches, and another $100 is added for each further year of delinquency. The LLC is marked delinquent and not in good standing in the meantime, which can block new filings. The report publishes the managers, or members of a member-managed LLC, with addresses. Illinois franchise tax does not apply to LLCs.

First report: The first Annual Report is due before the first day of the anniversary month in the year after formation.

If you miss the deadline

  • $100 penalty if the default is not corrected before the first day of the second month after the anniversary month, plus $100 more for each year or part of a year of delinquency starting with the second year (805 ILCS 180/50-15).
  • A late LLC is listed as delinquent and not in good standing. The Secretary of State mails a notice of delinquency, and if the annual report default is not cured within 120 days of that notice, a certificate of administrative dissolution is issued (805 ILCS 180/35-25 and 35-30).
  • Fixing a dissolved or forfeited LLC is covered in our Illinois LLC reinstatement guide.

How to file the Illinois Annual Report

  • File online through the Illinois Secretary of State's annual report service using the LLC's file number, or mail Form LLC-50.1 to the Department of Business Services in Springfield.
  • What becomes public: The report lists the registered agent and office, principal office address, and the names and addresses of the managers (or members if member-managed), which are public on the business entity search.
  • Filed or paid alongside it: Illinois franchise tax applies to corporations, not LLCs. LLCs taxed as partnerships or S corporations owe Illinois Personal Property Replacement Income Tax on their Illinois Department of Revenue returns, separate from the annual report.
  • Official filing page: file with the state

Mistakes Illinois owners make

  • Treating the anniversary month as the deadline, when Illinois requires the report before the first day of that month.
  • Relying on old forms that list the former $250 annual report fee instead of the current $75.
  • Forgetting the extra $50 per series in a series LLC, which leaves the report underpaid.
  • Ignoring 'not in good standing' status, which can stop the Secretary of State from accepting other filings such as amendments.

Illinois LLC annual report: questions

When is the Illinois LLC Annual Report due?

Before the first day of the LLC's anniversary month. If the LLC was formed in September, the report and fee are due by August 31 each year. The first report is due the year after formation, and the Secretary of State mails a reminder to the registered agent ahead of the deadline.

How much is the Illinois LLC late penalty?

If the report is not filed before the first day of the second month after the anniversary month, Illinois adds a $100 penalty. Starting with the second year of delinquency, another $100 is added for each year or part of a year until the LLC is current or reinstated.

Does an Illinois LLC pay franchise tax with its annual report?

No. Illinois franchise tax is a corporate tax. An LLC pays the $75 annual report fee to the Secretary of State, while any income or replacement tax is handled separately with the Illinois Department of Revenue based on how the LLC is taxed.
