What a Missouri LLC still has to do each year

Missouri is one of the few states where an LLC files no annual report at all. The Secretary of State's own FAQ answers the question with a flat no, and there is no annual fee or franchise tax to pay with the state. After the articles of organization are filed, the main ongoing duty with the Corporations Division is keeping a registered agent and registered office on record, and filing a change form (a $10 fee) when either changes. If information in the articles needs to change, the LLC files an amendment. Taxes are separate: depending on its federal tax classification, the LLC registers with the Department of Revenue for income, sales or withholding tax. The lack of a yearly filing means the Secretary of State has no routine reminder to send, so a lapsed registered agent can go unnoticed until the state issues a cancellation notice.

Changes of registered agent or office and amendments are filed online through the Secretary of State's business portal (bsd.sos.mo.gov) or by mail to the Corporations Division, PO Box 778, Jefferson City, MO 65102.

If the LLC is dissolved for another reason, such as losing its registered agent, see the Missouri reinstatement guide.

Mistakes Missouri owners make

  • Paying a third-party service for a Missouri LLC annual report that the state does not require.
  • Letting the registered agent lapse, which is one of the few grounds for the Secretary of State to cancel a Missouri LLC.
  • Assuming no annual report means no tax filings, when the Department of Revenue may still require income, sales or withholding returns.
  • Putting a fixed dissolution date in the articles of organization and forgetting it, which can lead to administrative cancellation when the term expires.
