How reinstatement works in Iowa

Iowa is one of the easiest states to come back from administrative dissolution. Under Iowa Code 489.710 an LLC may apply for reinstatement at any time after dissolution, with no outer deadline, and the state reinstatement fee is only $5. The application states the LLC's name, the dissolution date, and that the grounds for dissolution have been eliminated, which in practice means filing the missing Biennial Report and paying its fee. The main time-sensitive issue is the name: if reinstatement takes effect within five years of dissolution, the LLC keeps its name automatically, but after five years it must use a name that is currently available, and the certificate of reinstatement then acts as a name amendment. Reinstatement relates back to the dissolution date, so the LLC is treated as if it was never dissolved. Fast Track Filing handles the reports and the application together.

Steps to reinstate an Iowa LLC

  1. Application for reinstatement stating the LLC name at dissolution and the effective date of the administrative dissolution
  2. Statement that the grounds for dissolution did not exist or have been eliminated (for example, by filing the missing Biennial Report)
  3. Pay all delinquent fees
  4. If filed more than five years after dissolution, a name that satisfies Iowa's name-availability rules
  5. Form to use: Application for Reinstatement Following Administrative Dissolution.
  6. Online through Fast Track Filing, where the missing Biennial Reports and the reinstatement application can be submitted together, or by mail to the Iowa Secretary of State, Business Services, in Des Moines.

What reinstatement costs: a worked example

An LLC dissolved after missing 2 biennial reports:

ItemAmount
Reinstatement fee$5
2 missed Biennial Reports at $30$60
Estimated state total$65

$5 application for reinstatement (Iowa Code 489.122), plus the fee for each delinquent Biennial Report and any other fees owed. Whether late penalties are charged again at reinstatement varies; the state calculates the exact total when you file. Taxes, interest and tax-clearance costs are extra where they apply.

What happens to the LLC and its name

  • Effect: Yes. Iowa Code 489.710(3) provides that reinstatement relates back to and takes effect as of the effective date of the administrative dissolution, as if the dissolution had never occurred.
  • Your LLC name: An LLC reinstated within five years of dissolution keeps the right to its name; after five years it must state a name that is available, and the certificate of reinstatement amends the name if it changes.

The most common cause is a missed Biennial Report. See the Iowa Biennial Report guide for deadlines so it does not happen again.

Mistakes that slow down an Iowa reinstatement

  • Paying a service hundreds of dollars for a reinstatement that costs $5 plus the missing report fees at the state.
  • Waiting more than five years, which does not end eligibility but removes the automatic right to keep the LLC's name.
  • Filing the reinstatement application without also filing the missing Biennial Report, which leaves the ground for dissolution uncured.

Iowa LLC reinstatement: questions

How long does a dissolved Iowa LLC have to reinstate?

There is no deadline. Iowa Code 489.710 lets an administratively dissolved LLC apply at any time. The five-year mark matters only for the name: reinstate within five years and the LLC keeps its name; after that, it must use a name that is available at the time.

How much does Iowa charge to reinstate an LLC?

The application for reinstatement costs $5 under Iowa Code 489.122. The LLC must also cure the reason it was dissolved, which usually means filing the missing Biennial Report and paying that report's fee, along with any other fees owed. Fast Track Filing lets both be submitted online.

Does Iowa reinstatement erase the dissolution?

Yes. Under Iowa Code 489.710(3), reinstatement relates back to the effective date of the administrative dissolution, and the LLC is treated as if the dissolution never occurred, which helps preserve contracts and liability protection for the gap. The LLC keeps its original formation date.
