How reinstatement works in Nebraska

Nebraska dissolves LLCs that miss the biennial report, and in the 2025 cycle it did so by operation of law on June 17, 2025, without a separate hearing. A dissolved domestic LLC can reinstate within 5 years by filing the overdue biennial report together with the Application and Declaration of Reinstatement and paying the combined fee. For an LLC dissolved in June 2025, the Secretary of State's packet shows $30 for the report plus $30 for reinstatement, $60 in total. Unlike the regular report, reinstatement cannot be filed online: it is mailed or delivered to the Secretary of State in Lincoln, and LLCs dissolved before June 17, 2025 must email the office to get a fee worksheet. An LLC dissolved for more than 5 years can still return through late reinstatement, but that application alone costs $500 plus past report fees and interest.

Steps to reinstate a Nebraska LLC

  1. File the completed biennial report for each unfiled period
  2. File the Application and Declaration of Reinstatement
  3. State that the grounds for dissolution did not exist or have been eliminated
  4. Confirm the name satisfies Neb. Rev. Stat. 21-108
  5. Pay the total fee shown on the reinstatement worksheet
  6. Form to use: Application and Declaration of Reinstatement, Domestic Limited Liability Company (Neb. Rev. Stat. 21-152).
  7. Not available online. Mail to Secretary of State, P.O. Box 94608, Lincoln, NE 68509-4608, or file in person at 1201 N Street, Suite 120, Lincoln. LLCs dissolved before June 17, 2025 should email sos.corp@nebraska.gov for their application and fee worksheet.

Processing: The Secretary of State notifies the LLC by mail once the application is processed, and the status then shows as Active in the Corporate and Business Search.

What reinstatement costs: a worked example

An LLC dissolved after missing 2 biennial reports:

ItemAmount
Reinstatement fee$30
2 missed Biennial Reports at $30$60
Estimated state total$90

$30 Application for Reinstatement plus each unfiled biennial report fee ($30 each on paper); for an LLC dissolved June 17, 2025, the Secretary of State's packet totals $60. Late reinstatement after more than 5 years costs $500 plus past biennial report fees and interest. Whether late penalties are charged again at reinstatement varies; the state calculates the exact total when you file. Taxes, interest and tax-clearance costs are extra where they apply.

What happens to the LLC and its name

  • Your LLC name: The application must confirm that the LLC's name still satisfies Neb. Rev. Stat. 21-108; if the name is no longer available, it must be changed.

The most common cause is a missed Biennial Report. See the Nebraska Biennial Report guide for deadlines so it does not happen again.

Mistakes that slow down a Nebraska reinstatement

  • Looking for an online reinstatement option, when Nebraska requires reinstatement by mail or in person.
  • Sending only the reinstatement form without the overdue biennial report, which must be filed together.
  • Letting more than 5 years pass, which turns a $30 reinstatement into a $500 late reinstatement.
