How to Reinstate an LLC in Missouri

An administratively dissolved Missouri LLC can be reinstated through the Missouri Secretary of State, Corporations Division. RSMo 347.183(6) sets a $100 reinstatement fee, plus delinquent fees, penalties and charges, for an LLC cancelled because its stated duration expired. For cancellation on other grounds (no registered agent, missing filings, unpaid fees), the statute sets no specific rescission fee; the Secretary of State calculates the amount owed, including late fees of $10 per 30-day delinquency period. Time limit: No deadline is set in RSMo 347.183 for rescission or reinstatement.

How reinstatement works in Missouri

Because Missouri LLCs file no annual report, they cannot lose good standing for skipping one. Instead, RSMo 347.183 lets the Secretary of State cancel an LLC's articles after 30 days' written notice if it fails to maintain a registered agent, fails to file a required document, fails to pay a filing fee, or files false information. To reverse it, the LLC asks the Secretary of State to rescind the cancellation by showing the problem has been fixed. The process starts online: the LLC requests a rescission packet through the business portal, completes the Application for Reinstatement (Corp. 50AD), and uploads every document together. LLCs cancelled because a fixed duration in their articles expired follow a separate statutory path with a $100 fee, may extend their duration by amendment, and are reinstated as of the cancellation date.

Steps to reinstate a Missouri LLC

  1. Request the rescission packet electronically through the Secretary of State's online business portal (an online filing account is required)
  2. Complete the Application for Reinstatement (Corp. 50AD) included in the packet
  3. Submit documents and affidavits showing the condition that caused cancellation has been corrected, such as appointing a registered agent or filing a missing document
  4. Pay any delinquent fees, late fees and penalties
  5. Foreign LLCs must also file a change of registered agent form
  6. Form to use: Application for Reinstatement (Corp. 50AD), provided in the rescission packet.
  7. Request the rescission packet through bsd.sos.mo.gov, then upload each completed document as a separate PDF at the same time; the packet must be requested online even if filing by mail to 600 West Main Street, Jefferson City, MO 65101.

What happens to the LLC and its name

  • Effect: For reinstatement after cancellation for expired duration, RSMo 347.183(6)(e) says reinstatement relates back to the effective date of the administrative cancellation. The rescission provision for other grounds (347.183(3)) contains no relation-back language.
  • Your LLC name: If the LLC's name was reissued to another entity before reinstatement, the LLC may reinstate under a new name that complies with RSMo 347.020 (347.183(6)).

Mistakes that slow down a Missouri reinstatement

  • Mailing paper forms without first requesting the rescission packet online, which the Secretary of State requires.
  • Uploading the reinstatement documents piecemeal instead of submitting every document at the same time.
  • Not curing the underlying problem, such as appointing a new registered agent, before asking for rescission.

Missouri LLC reinstatement: questions

How do I reinstate a cancelled Missouri LLC?

Request a rescission packet through the Secretary of State's online business portal, which requires an online filing account. Complete the Application for Reinstatement (Corp. 50AD), fix the problem that caused the cancellation, and upload every document as a separate PDF at the same time.

How much does Missouri LLC reinstatement cost?

For an LLC cancelled because its stated duration expired, RSMo 347.183 sets a $100 reinstatement fee plus any delinquent fees and penalties. For other grounds, the statute sets no specific fee, and the Secretary of State calculates what is owed, which can include $10 late fees for each 30-day delinquency period.

Is there a deadline to reinstate a Missouri LLC?

RSMo 347.183 sets no deadline for rescinding a cancellation or reinstating. If the LLC's name was given to another entity in the meantime, the statute allows reinstatement under a new name that meets Missouri's naming requirements. Acting sooner reduces late fees and the chance of losing the name.
