Does New Mexico Require an LLC Annual Report?
No. New Mexico does not require LLCs to file an annual report. There is no recurring state filing fee for a standard LLC. LLCs taxed as partnerships file Form PTE, the New Mexico Pass-Through Entities Tax Return, by the federal return due date and withhold for nonresident owners; LLCs selling goods or services in the state also register with the Taxation and Revenue Department for gross receipts tax.
What a New Mexico LLC still has to do each year
New Mexico is one of the few states where an LLC files nothing with the Secretary of State after formation: there is no annual report, no biennial report and no yearly state fee. New Mexico corporations do file reports, which is why owners sometimes assume LLCs must too. The duty that remains is the registered agent. Under NMSA 53-19-66.1, an LLC that goes 30 days without a registered agent, or does not file a Statement of Change within 30 days after moving its agent or registered office, can be administratively revoked. All such changes are now filed online through the New Mexico Business Portal, since paper business filings are no longer accepted. Ongoing obligations shift to the Taxation and Revenue Department: LLCs taxed as partnerships file the Form PTE return by the federal due date and withhold for nonresident owners, and LLCs that sell goods or services generally owe gross receipts tax. Because no report updates the public record, the Articles of Organization often stay the main public filing.
Registered agent and office changes are filed online through the New Mexico Business Portal (enterprise.sos.nm.gov); paper business filings are no longer accepted.
If the LLC is dissolved for another reason, such as losing its registered agent, see the New Mexico reinstatement guide.

Mistakes New Mexico owners make
- Paying a private service for a New Mexico LLC annual report, when the state requires no annual or biennial report from LLCs.
- Letting a registered agent resign or lapse, which can lead to revocation after only 30 days.
- Moving the registered office or switching agents without filing a Statement of Change on the Business Portal within 30 days.
- Assuming no state filings means no state obligations, when multi-member LLCs still owe a Form PTE return to the Taxation and Revenue Department.
New Mexico LLC annual requirements: questions
Does a New Mexico LLC have to file an annual report?
No. New Mexico does not require domestic LLCs to file an annual or biennial report with the Secretary of State, and there is no yearly state fee. Corporations file reports in New Mexico, but LLCs do not. The ongoing requirement is to keep a registered agent and report agent or office changes.
Can a New Mexico LLC lose its status without an annual report requirement?
Yes. Under NMSA 53-19-66.1 the Secretary of State may revoke an LLC that goes 30 days without a registered agent, or that fails for 30 days to file a statement after changing its registered agent or office. Keeping the agent current is the main compliance task.
What state tax filings does a New Mexico LLC have?
It depends on how the LLC is taxed. LLCs taxed as partnerships file Form PTE with the Taxation and Revenue Department by the federal return due date and withhold tax for nonresident owners. LLCs that sell goods or services in New Mexico generally register for and report gross receipts tax.
