Colorado LLC Periodic Report: Due Date, Fee and What Happens If You Miss It

Colorado LLCs file a Periodic Report with the Colorado Secretary of State, every year. The state fee is $25. File the Periodic Report online each year between the start of the second month before your periodic report month and the last day of the second month after it; the Business Summary page shows your periodic report month. If the report is not filed by the end of the window, the LLC becomes Noncompliant and a $50 late filing penalty is added, for $75 total, during the following 60 days.

How the Periodic Report works in Colorado

Colorado calls its yearly LLC filing the Periodic Report, and it is filed only online with the Secretary of State for $25. The deadline is tied to the LLC's periodic report month, which is normally the month it was formed and is shown on the Business Summary page. The filing window is unusually wide: it opens two months before that month and closes at the end of the second month after it, giving five months to file without penalty. Missing the window moves the LLC to Noncompliant status and adds a $50 late penalty. Sixty more days without filing makes the LLC Delinquent. The report itself is short, confirming the principal office address and registered agent. Colorado charges no franchise tax with it, and a resigned registered agent must be replaced within 30 days to avoid the same noncompliance path.

First report: The first Periodic Report is due in the year after formation, in the window around the month the LLC was formed.

If the LLC was formedThe report is due
March 15, 2026March is the reference month: Opens two months before the LLC's periodic report month (the month it was formed) and closes on the last day of the second month after it, so a January report month can be filed November 1 through March 31 without penalty.
August 20, 2026August is the reference month: Opens two months before the LLC's periodic report month (the month it was formed) and closes on the last day of the second month after it, so a January report month can be filed November 1 through March 31 without penalty.
December 5, 2026December is the reference month: Opens two months before the LLC's periodic report month (the month it was formed) and closes on the last day of the second month after it, so a January report month can be filed November 1 through March 31 without penalty.

If you miss the deadline

  • If the report is not filed by the end of the window, the LLC becomes Noncompliant and a $50 late filing penalty is added, for $75 total, during the following 60 days.
  • An LLC that stays Noncompliant for 60 days without filing becomes Delinquent (C.R.S. 7-90-901), loses good standing, and cannot bring a lawsuit in Colorado to collect its debts until the delinquency is cured. After 400 days its name is altered to add 'delinquent' and the date, and the original name becomes available to others.

How to file the Colorado Periodic Report

  • Online only at the Colorado Secretary of State website: search the LLC by name or 11-digit ID number, then file the Periodic Report from the Business Summary page, confirming the principal office and registered agent.
  • What becomes public: The report updates the principal office address and registered agent name and address, which appear on the public business record.
  • Filed or paid alongside it: No franchise or annual tax is paid with the Periodic Report; income tax filings with the Colorado Department of Revenue follow the LLC's federal tax classification.
  • Official filing page: file with the state

Mistakes Colorado owners make

  • Trying to mail a paper Periodic Report, when Colorado accepts the filing only online.
  • Assuming the deadline is the anniversary date, when the window actually closes at the end of the second month after the periodic report month.
  • Not replacing a resigned registered agent within 30 days, which makes the LLC Noncompliant even if the report was filed.
  • Ignoring Noncompliant status, which turns into Delinquent after 60 days and then costs $100 to cure instead of a $75 late report.

Colorado LLC annual report: questions

When is the Colorado Periodic Report due?

Each LLC has a periodic report month, shown on its Business Summary page and usually the month it was formed. The report can be filed from two months before that month until the last day of the second month after it. For a January report month, the deadline is March 31.

What happens if a Colorado LLC files its Periodic Report late?

Once the window closes, the LLC becomes Noncompliant and owes a $50 late penalty on top of the $25 fee. If it still has not filed 60 days later, its status changes to Delinquent, and it must file a $100 Statement Curing Delinquency instead of the late report.

Can I file the Colorado Periodic Report by mail?

No. Colorado accepts Periodic Reports only through the Secretary of State's online filing system. You look up the LLC by name or 11-digit ID, confirm or update the principal office and registered agent, and pay online. Email due notices are available but filing on time is the LLC's responsibility.
