Oklahoma LLC Annual Certificate: Due Date, Fee and What Happens If You Miss It

Oklahoma LLCs file a Annual Certificate with the Oklahoma Secretary of State, every year. The state fee is $25. File the Annual Certificate and pay $25 each year on the anniversary date of the day the LLC was formed or registered in Oklahoma; it becomes delinquent if still unfiled 60 days after that date. No separate late fee; a late filer pays the $25 fee for each missed year, and missing the 60-day grace period costs the LLC its good standing.

How the Annual Certificate works in Oklahoma

Oklahoma calls its yearly LLC filing the Annual Certificate rather than an annual report. It goes to the Oklahoma Secretary of State, costs a flat $25, and is due on the anniversary of the date the LLC was formed or registered, not on a statewide deadline. The form itself is short: it asks whether the company is still an active business, the street address of its principal place of business, and an email address for future reminders. There is no list of members or managers and no tax return attached. The state gives a 60-day grace period after the anniversary date. Once that runs out, the LLC drops out of good standing, and the online record may show it as inactive, terminated, or expired. If the certificate and fee go unpaid for three years, a domestic LLC's articles of organization are canceled by statute. Supplying a valid email matters, because that is how the office sends notices.

First report: The first Annual Certificate is due on the first anniversary of the date the Articles of Organization (or foreign registration) were filed.

If you miss the deadline

  • No separate late fee; a late filer pays the $25 fee for each missed year, and missing the 60-day grace period costs the LLC its good standing.
  • If the certificate is not filed within 60 days after the anniversary date, the LLC ceases to be in good standing (shown online as inactive); if certificates and fees stay unpaid for three years, the articles of organization of a domestic LLC are canceled under 18 O.S. 2012.1(B).
  • Fixing a dissolved or forfeited LLC is covered in our Oklahoma LLC reinstatement guide.

How to file the Oklahoma Annual Certificate

  • File online through the Secretary of State's Online Business Filing System ('File Annual Certificates Electronically') using the LLC's filing number, or mail the paper Annual Certificate (SOS Form 0097) with a $25 check to 421 N.W. 13th, Suite 210, Oklahoma City, OK 73103.
  • What becomes public: The certificate confirms whether the LLC is an active business and lists the street address of its principal place of business (P.O. boxes are not accepted); it also collects a contact email used for future notices. Members and managers are not listed.
  • Official filing page: file with the state

Mistakes Oklahoma owners make

  • Waiting for a fixed calendar deadline, when the certificate is actually due on the LLC's own formation anniversary date.
  • Leaving the email field blank or outdated, which means the Secretary of State's reminder notices never arrive.
  • Listing a P.O. box as the principal place of business, which the form does not accept.
  • Assuming the 60-day grace period is a separate extension, when the LLC loses good standing automatically the day it ends.

Oklahoma LLC annual report: questions

When is my Oklahoma Annual Certificate due?

It is due every year on the anniversary of the date your LLC was formed or registered in Oklahoma. If your Articles of Organization were filed on March 10, each certificate is due March 10. The state allows 60 days after that date before the LLC loses good standing, but the due date itself does not move.

Does the Oklahoma Annual Certificate list my LLC's owners?

No. The certificate asks only whether the LLC is an active business, the street address of its principal place of business, and a primary contact email, plus the signature of a member or manager. It does not require a list of members or managers, so ownership is not disclosed through this filing.

What does it cost to file late in Oklahoma?

Oklahoma does not add a separate penalty to a late Annual Certificate; the fee stays $25 per year. The real cost of filing late is losing good standing after the 60-day grace period, which then requires a reinstatement application plus every missed year's certificate and fee.
