Kansas LLC Information Report: Due Date, Fee and What Happens If You Miss It

Kansas LLCs file a Information Report with the Kansas Secretary of State, Business Services Division, every two years. The state fee is not published †. File the Information Report by April 15 of every even-numbered year if the LLC was formed in an even year, or every odd-numbered year if it was formed in an odd year. No separate late fee is charged while the LLC is within the 90-day window after April 15; once the LLC is forfeited, reinstatement carries an $85 penalty plus $110 for each past-due report.

How the Information Report works in Kansas

Kansas replaced its annual report with a biennial Information Report starting in 2024, and many older guides still describe the old yearly filing. The report goes to the Secretary of State's Business Services Division and is due by April 15, but only every other year. Which years depends on the year the LLC was formed: an LLC formed in an even-numbered year files in even years, and one formed in an odd year files in odd years. That means a 2026 LLC first files by April 15, 2028. The fee is $90 online and $110 on paper. The report also has an unusual disclosure: it must list every member that owns at least 5% of the LLC's capital, with postal addresses, so ownership becomes public. Kansas no longer has a franchise tax, so the fee is the only cost. An LLC that misses April 15 by more than 90 days is forfeited.

First report: The first Information Report is due April 15 of the second calendar year after formation, matching the formation year's even or odd cycle (an LLC formed in 2026 first files by April 15, 2028).

If you miss the deadline

  • No separate late fee is charged while the LLC is within the 90-day window after April 15; once the LLC is forfeited, reinstatement carries an $85 penalty plus $110 for each past-due report.
  • If the report and fee are not filed within 90 days after the April 15 deadline, the LLC's articles of organization are forfeited and its status changes to forfeited (K.S.A. 17-76,139). Forfeitures are published monthly in the Kansas Register.
  • Fixing a dissolved or forfeited LLC is covered in our Kansas LLC reinstatement guide.

How to file the Kansas Information Report

  • File online through the Kansas Secretary of State's business filing center using the LLC's business entity ID, or mail paper Form ILC with the $110 fee to the Business Services Division in Topeka.
  • What becomes public: The report lists the principal office address and every member who owns 5% or more of the LLC's capital, with each member's postal address, all of which become public record.
  • Filed or paid alongside it: Kansas no longer imposes a franchise tax, so no tax is paid with the Information Report; income taxes are handled separately with the Kansas Department of Revenue.
  • Official filing page: file with the state

Mistakes Kansas owners make

  • Filing every year based on old guidance, when Kansas moved LLCs to a biennial Information Report in 2024.
  • Filing in the wrong year: an LLC formed in an odd year files only in odd years, and an even-year LLC only in even years.
  • Forgetting that the report must list every member owning 5% or more of the LLC, with addresses, which becomes public.
  • Mailing a paper report for $110 when the online filing costs $90.

Kansas LLC annual report: questions

Does a Kansas LLC still file an annual report?

No. Since 2024, Kansas LLCs file an Information Report every two years instead. It is due April 15 in even-numbered years for LLCs formed in an even year and in odd-numbered years for LLCs formed in an odd year. Many older guides still describe the annual cycle, so check the current statute.

When is my Kansas LLC's first Information Report due?

By April 15 of the second calendar year after formation, since the cycle follows the formation year's even or odd parity. An LLC formed in 2026 files first by April 15, 2028, and an LLC formed in 2027 files first by April 15, 2029.

What does the Kansas Information Report make public?

It lists the LLC's principal office address and the name and postal address of each member that owns at least 5% of the LLC's capital. This ownership disclosure is more detailed than what many neighboring states require. Members below the 5% threshold are not listed.
